Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and Helm Consulting ("Helm," "we," "us," or "our") regarding your use of our voice AI automation services (the "Service").

BY ACCESSING OR USING THE SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE SERVICE.

1. Service Description
1.1 Overview

Helm provides voice AI automation services that enable businesses to:

  • Automate customer support calls

  • Schedule appointments via voice

  • Conduct outbound sales calls

  • Provide ecommerce shopping assistance

  • Deploy custom voice AI agents

1.2 Service Modifications

We reserve the right to:

  • Modify or discontinue features (temporarily or permanently)

  • Change pricing with 30 days' notice

  • Update Service specifications

  • Implement usage limits

We will make reasonable efforts to notify you of material changes.

2. Account Registration
2.1 Eligibility

You must:

  • Be at least 18 years old

  • Have authority to bind your organization

  • Provide accurate and complete information

  • Maintain current account information

2.2 Account Security

You are responsible for:

  • Maintaining confidentiality of credentials

  • All activities under your account

  • Notifying us immediately of unauthorized access

  • Ensuring compliance with these Terms by all users

2.3 Account Termination

We may suspend or terminate accounts that:

  • Violate these Terms

  • Engage in fraudulent activity

  • Create security or legal risks

  • Are inactive for extended periods

3. Subscription Plans and Billing
3.1 Plans

We offer the following plans:

Starter - $299/month

  • Up to 200 calls/month (~1,000 minutes)

  • 2 AI agents

  • 3 core integrations

  • Email support

Pro - $699/month

  • Up to 500 calls/month (~2,500 minutes)

  • 5 AI agents

  • Full integrations

  • Priority support

  • Quarterly optimization calls

Enterprise - Custom Pricing

  • Unlimited calls (fair use policy)

  • Unlimited AI agents

  • Custom integrations

  • 24/7 priority support

  • Dedicated consultant

3.2 Billing
  • Payment: Billed monthly or bi-annually in advance

  • Payment Methods: Credit card, ACH (Enterprise only)

  • Auto-Renewal: Subscriptions renew automatically unless cancelled

  • Failed Payments: Service may be suspended after 5 days; terminated after 15 days

  • Taxes: Customer responsible for all applicable taxes

3.3 Usage Limits and Overages
  • Plans include specified call volumes (minutes per month)

  • Overage charges apply beyond limits:

    • Starter: $0.15/minute

    • Pro: $0.12/minute

    • Enterprise: Negotiated rates

  • Concurrent call limits enforced per plan

  • Excessive usage may require plan upgrade

3.4 Refunds
  • 30-Day Money-Back Guarantee: Available for first month only

  • Pro-rated Refunds: Not provided for mid-cycle cancellations

  • Annual Plans: No refunds after 30 days

3.5 Price Changes

We may change pricing with 30 days' notice. Changes apply at next billing cycle. Continued use constitutes acceptance.

4. Acceptable Use Policy
4.1 Permitted Uses

You may use the Service for:

  • Legitimate business communications

  • Customer support and service

  • Appointment scheduling

  • Sales and lead qualification

  • Customer engagement

4.2 Prohibited Uses

You may NOT use the Service for:

Illegal Activities:

  • Violating any laws or regulations

  • Fraud, phishing, or deceptive practices

  • Harassment, threats, or abuse

  • Illegal telemarketing

Harmful Content:

  • Hate speech or discrimination

  • Violence or harmful content

  • Adult or inappropriate content

  • Spam or unsolicited communications

Technical Violations:

  • Reverse engineering or copying Service

  • Attempting to bypass security measures

  • Overloading or disrupting systems

  • Automated scraping or data harvesting

Telemarketing Violations:

  • Calling numbers on Do Not Call lists

  • Calling without proper consent

  • Failing to identify your business

  • Violating TCPA or similar regulations

4.3 Consequences

Violations may result in:

  • Immediate account suspension

  • Termination without refund

  • Legal action and liability for damages

  • Reporting to authorities

5. Compliance and Legal Obligations
5.1 Your Responsibilities

You must:

  • Comply with all applicable laws (TCPA, GDPR, etc.)

  • Obtain necessary consents for recordings

  • Honor opt-out requests immediately

  • Maintain Do Not Call list compliance

  • Provide required disclosures to call recipients

  • Ensure AI agents don't misrepresent identity

5.2 Call Recording Consent

You are responsible for:

  • Obtaining consent to record calls (where required)

  • Providing required notifications

  • Complying with one-party/two-party consent laws

  • International recording regulations

5.3 Data Protection

You must:

  • Comply with applicable data protection laws

  • Secure any data processed through Service

  • Maintain appropriate data processing agreements

  • Notify affected parties of data breaches

6. Intellectual Property
6.1 Our Property

We retain all rights to:

  • Service software and infrastructure

  • AI models and algorithms

  • Trademarks and branding

  • Documentation and materials

6.2 Your Content

You retain ownership of:

  • Your business data

  • Call content and recordings

  • Customer information

  • Custom configurations

You grant us license to:

  • Process data to provide Service

  • Use aggregated, anonymized data for improvements

  • Store and backup your content

6.3 Feedback

Any feedback you provide becomes our property and may be used without compensation or attribution.

7. Data Privacy and Security
7.1 Data Processing

We process data as described in our Privacy Policy. By using the Service, you agree to data processing as outlined.

7.2 Data Ownership
  • You own your customer data

  • We don't sell or share data except as outlined in Privacy Policy

  • You can export data anytime

  • You can request deletion (subject to legal requirements)

7.3 Security Measures

We implement:

  • Industry-standard encryption

  • Access controls and authentication

  • Regular security audits

  • Incident response procedures

7.4 Data Breaches

We will:

  • Notify you of breaches within 72 hours

  • Cooperate with your breach response

  • Assist with regulatory notifications

8. Service Level and Support
8.1 Uptime

We target 99.5% uptime (excluding scheduled maintenance). We do not guarantee uninterrupted service.

8.2 Maintenance
  • Scheduled maintenance announced 48 hours in advance

  • Emergency maintenance may occur without notice

8.3 Support
  • Starter: Email support (48-hour response time)

  • Pro: Priority email support (24-hour response time)

  • Enterprise: 24/7 phone and email support (4-hour response time)

9. Warranties and Disclaimers
9.1 Limited Warranty

We warrant that Service will perform substantially as described.

9.2 Disclaimers
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:
  • Merchantability or fitness for particular purpose

  • Accuracy or reliability of AI outputs

  • Uninterrupted or error-free operation

  • Security against unauthorized access

  • Compliance with your specific legal obligations

AI LIMITATIONS: Voice AI may make errors, misunderstand requests, or provide incorrect information. You are responsible for monitoring AI performance and outcomes.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

10.1 Excluded Damages

WE ARE NOT LIABLE FOR:

  • Indirect, incidental, or consequential damages

  • Lost profits or revenue

  • Loss of data or business opportunities

  • Cost of substitute services

  • Damages from third-party actions

10.2 Liability Cap

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNTS PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.

10.3 Exceptions

These limitations don't apply to:

  • Our gross negligence or willful misconduct

  • Death or personal injury caused by our negligence

  • Fraud or fraudulent misrepresentation

  • Violations of applicable law that can't be limited

11. Indemnification

You agree to indemnify and hold harmless Helm, its affiliates, and personnel from claims arising from:

  • Your use of the Service

  • Your violation of these Terms

  • Your violation of laws or regulations

  • Infringement of third-party rights

  • Content you provide or actions taken by your AI agents

  • Disputes with your customers

12. Term and Termination
12.1 Term

These Terms continue until terminated by either party.

12.2 Termination by You
  • Monthly plans: Cancel anytime with 30 days' notice

  • Annual plans: Subject to commitment period

  • Termination effective at end of billing cycle

12.3 Termination by Us

We may terminate immediately if:

  • You violate these Terms

  • Account inactive for 90+ days

  • Required by law

  • Service discontinued

We may terminate with 30 days' notice for convenience.

12.4 Effect of Termination

Upon termination:

  • Access to Service ends immediately (or at period end for you-initiated cancellations)

  • Data exported within 30 days (then deleted)

  • No refunds for prepaid fees

  • Outstanding fees become due immediately

  • Sections 6, 9, 10, 11, and 13 survive

13. General Terms
13.1 Entire Agreement

These Terms, plus Privacy Policy and any Order Forms, constitute the entire agreement.

13.2 Amendments

We may modify Terms with 30 days' notice. Continued use constitutes acceptance.

13.3 Assignment

You may not assign these Terms. We may assign to affiliates or in connection with merger/acquisition.

13.4 Governing Law

These Terms are governed by the laws of [YOUR STATE/COUNTRY], without regard to conflict of laws principles.

13.5 Dispute Resolution

Informal Resolution: Contact us first to resolve disputes informally.

Arbitration: Disputes will be resolved through binding arbitration under [ARBITRATION RULES], except:

  • IP disputes

Class Action Waiver: You waive right to participate in class actions.

13.6 Jurisdiction

No third-party beneficiaries except as explicitly stated.

13.12 Export Compliance

You agree to comply with export control laws.

13.13 Government Users

If you're a government entity, additional terms may apply.
